3. User Obligations and Responsibilities

Prohibited Activities

Users are strictly prohibited from:

Using services for illegal, fraudulent, or harmful activities
Violating any applicable laws, regulations, or third-party rights
Attempting to gain unauthorized access to our systems
Distributing malware, viruses, or harmful code
Engaging in spam, harassment, or abusive behavior
Infringing intellectual property rights
Reverse engineering or attempting to extract source code

3.1 Account Responsibilities

Accurate Information: Provide truthful, accurate, and complete information
Account Security: Maintain confidentiality of login credentials
Authorized Use: Ensure only authorized personnel access your account
Prompt Updates: Notify us immediately of any unauthorized access

3.2 Content and Data

Content Ownership: You retain ownership of content you provide
License Grant: You grant us necessary licenses to provide services
Content Standards: All content must comply with applicable laws
Backup Responsibility: Maintain independent backups of critical data

5. Payment Terms and Conditions

Payment Structure (All amounts in INR)

Project-Based Services:
• 50% advance payment
• 50% on completion and delivery

Monthly Services:
• 100% advance monthly payment
• Auto-renewal unless canceled

5.1 Payment Methods

Bank Transfer (NEFT/RTGS): Direct bank transfer to company account
UPI Payments: Unified Payments Interface for instant transfers
Digital Wallets: PayTM, PhonePe, Google Pay
Credit/Debit Cards: Visa, MasterCard, RuPay through secure gateways
Cheque/DD: For amounts above ₹50,000 (Chennai-based clients)

5.2 Tax Compliance

GST: 18% GST applicable on all services as per Indian tax laws
TDS: Tax Deducted at Source as applicable under Income Tax Act
Invoice: GST-compliant invoices provided for all transactions
Returns: All tax returns filed in compliance with Indian tax regulations

5.3 Late Payment and Penalties

Grace Period: 7 days grace period for payment delays
Late Fees: 2% per month on outstanding amounts after grace period
Service Suspension: Services may be suspended for payments overdue by 30+ days
Recovery: Legal action may be initiated for dues overdue by 90+ days

6. Intellectual Property Rights

Copyright Protection under Indian Law

All intellectual property rights are protected under the Copyright Act 1957, Patents Act 1970, Trade Marks Act 1999, and related Indian IP laws.

6.1 Client-Owned Intellectual Property

Content Ownership: Client retains ownership of all provided content, images, text, and data
Brand Assets: Client owns all trademarks, logos, and brand materials
Final Deliverables: Upon full payment, client owns the final delivered website/application
Source Code: Client receives full source code ownership for custom developments

6.2 VirtualAppStudio Intellectual Property

Proprietary Tools: We retain ownership of our development frameworks and tools
Methodologies: Our processes, workflows, and business methodologies remain our IP
Third-Party Licenses: We handle all third-party software licensing requirements
Portfolio Rights: Right to showcase completed work in our portfolio (with client consent)

6.3 IP Infringement Protection

DMCA Compliance: We respond to valid DMCA takedown notices
Plagiarism Prevention: All content checked for originality
License Verification: All third-party assets properly licensed
Indemnification: We provide IP indemnification for our deliverables

7. Warranties and Representations

7.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY SET FORTH HEREIN, VIRTUALAPPSTUDIO MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

This disclaimer is subject to Indian consumer protection laws which may provide additional rights that cannot be waived.

8. Limitation of Liability

Important Liability Limitations

Our liability is limited as permitted under Indian law, subject to Consumer Protection Act 2019 and other applicable consumer rights legislation.

8.1 Maximum Liability Cap

Financial Limit: Our total liability shall not exceed the amount paid by you for the specific service
Time Limit: Claims must be made within 12 months of the incident
Consequential Damages: We are not liable for indirect, consequential, or punitive damages
Business Losses: Loss of profits, revenue, or business opportunities excluded

8.2 Exceptions to Liability Limitations

Gross Negligence: Willful misconduct or gross negligence
Legal Violations: Violations of applicable laws or regulations
IP Infringement: Intellectual property violations by our deliverables
Data Breaches: Breaches caused by our security negligence

8.3 Indemnification

Client Indemnification: You agree to indemnify VirtualAppStudio against claims arising from your use of services, violation of these Terms, or infringement of third-party rights by your content or materials.

9. Termination and Cancellation

9.1 Termination by Client

Project Cancellation: Cancel ongoing projects with 7 days written notice
Completed Work: Payment due for all completed milestones
Refund Policy: Refunds calculated based on work completed
Data Return: We provide all completed work and data within 30 days

9.2 Termination by VirtualAppStudio

We may terminate services immediately for:

Non-payment of dues beyond 30 days
Violation of these Terms of Service
Illegal activities or misuse of services
Breach of intellectual property rights
Providing false or misleading information

9.3 Effect of Termination

Data Retention: We retain data for 90 days post-termination
Account Deactivation: All account access suspended immediately
Outstanding Payments: All dues become immediately payable
Survival Clauses: IP rights, payment obligations, and confidentiality survive termination

10. Dispute Resolution and Grievance Redressal

10.3 Governing Law and Jurisdiction

Consumer Rights: Consumer Protection Act 2019 rights are preserved
Language: All legal proceedings shall be conducted in English

11. Miscellaneous Provisions

11.1 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from acts beyond their reasonable control, including natural disasters, acts of government, terrorism, pandemics, or internet infrastructure failures.

11.2 Severability

If any provision of these Terms is found to be unenforceable or invalid under Indian law, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remainder of these Terms shall remain in full effect.

11.3 Entire Agreement

These Terms, together with our Privacy Policy and any executed service agreements, constitute the entire agreement between you and VirtualAppStudio regarding the use of our services.

11.4 Assignment

You may not assign your rights or obligations without our written consent
We may assign our rights and obligations with reasonable notice to you
These Terms bind and benefit the parties' successors and permitted assigns
